Terms of Service
Version 1, effective 2026-11-03
These Terms of Service ("Terms") are an agreement between DineTide ("we", "us", "DineTide") and the business that signs up for DineTide ("you", "the Customer"). By creating an account, starting a trial or using the service you accept these Terms. If you accept on behalf of a company, you confirm you are allowed to bind it.
1. The service
DineTide is a cloud service for restaurants, cafes, bars, kitchens and similar food and beverage businesses. It helps you manage stock, purchasing, recipes and costing, kitchen and bar operations, food safety records, events, equipment and reports. Each customer receives a private system at its own address under our customer domain. We may improve, add or retire features over time. If we remove a feature you pay for in a way that materially harms you, we will tell you first and offer a fair remedy.
2. Accounts and access
- You must give accurate sign-up details and keep them current.
- The first user is the owner of your system. The owner decides who else may use it and what each person may see or change.
- You are responsible for everything done through your users' accounts, and for keeping their sign-in details and devices secure. Tell us at once at (our support email, shown on our website) if you suspect unauthorised access.
- You must be a business or a person acting for a business, at least 18 years old and able to enter a contract.
3. Free trial
A trial lets you try the service for the period shown at sign-up. We may limit trials to one per business and may refuse or end a trial we reasonably believe is abused, for example by repeated sign-ups to avoid paying. At the end of the trial your system becomes read only unless you choose a plan. If you do not subscribe, your data is kept for a short grace period and then deleted as described in section 13.
4. Plans, prices and payment
- Plans, limits and prices are shown on our website and in the sign-up flow. Prices exclude taxes unless stated.
- Payment is taken through our payment partners. Customers in India are billed through Razorpay; customers elsewhere are billed through Paddle, which acts as the seller of record and handles sales tax and VAT. Their terms also apply to the payment.
- Subscriptions renew automatically for the same period until cancelled. You authorise us and our payment partners to charge the payment method you provide.
- We may change prices or plan limits on at least 30 days' written notice. The change applies from your next renewal. If you do not agree you may cancel before it takes effect.
- Where Indian GST applies we issue tax invoices. Give us a correct GSTIN if you want it shown.
5. Failed payments
If a payment fails we tell you and retry. If it is still unpaid after 7 days your system becomes read only: people can look at everything and export it, but nothing can be changed. If it is still unpaid after 21 days we may suspend the system. Paying the outstanding amount restores access immediately. Your data is not deleted because of a failed payment alone.
6. Cancellation and refunds
You may cancel at any time from your account or by writing to (our support email, shown on our website). Cancellation takes effect at the end of the paid period. Refunds are governed by our Refund and Cancellation Policy.
7. Your data
- You own your data. We do not claim any right to it beyond what is needed to run the service for you.
- You give us the right to host, copy, process and display your data only to provide, secure, support and improve the service, and as these Terms and our Data Processing Agreement allow.
- You are responsible for the lawfulness of the data you put in, including personal data about your staff, suppliers and customers, and for telling those people what you do with it.
- You can export your data as spreadsheets at any time. See section 13 for what happens when you leave.
- Our Privacy Policy explains how we handle personal data about you and your users. Where we process personal data on your behalf, our Data Processing Agreement applies.
8. Acceptable use
You must follow our Acceptable Use Policy. In short: no unlawful use, no attacks or attempts to break security, no overloading the service, no reselling without our written consent, and no uploading of malware or content you have no right to use.
9. Security
We protect the service with measures described in our Data Processing Agreement, including encryption in transit, access controls, audit records, nightly backups and separation between customers. No online service is perfectly secure. We will notify you of a personal data breach affecting your data without undue delay.
10. Service levels and support
We aim to keep the service available at all times, with planned maintenance announced in advance where practicable. Support is available through (our support email, shown on our website). Any service level commitment that applies to your plan is set out in our Service Level Agreement.
11. Intellectual property
We and our licensors own the service, its software, design and documentation. We grant you a limited, non-exclusive, non-transferable right to use it during your subscription for your own business. The service includes open-source software, which is licensed under its own terms (see the open-source licences page). You must not copy, modify, reverse engineer or create derivative works of the service except as the law or those open-source licences allow. If you send us feedback or ideas we may use them freely without obligation to you.
12. Confidentiality
Each of us will keep the other's non-public information confidential, use it only for the purposes of this agreement, and protect it with reasonable care. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law (in which case we will tell you if allowed).
13. Ending the agreement
- You may stop using the service at any time. We may suspend or end your access if you materially breach these Terms and do not fix it within 14 days of notice, if you do not pay, or immediately if needed to protect the service, other customers or the law.
- After the agreement ends your system is read only for 30 days so you can export everything. After that we delete your data from live systems and, within a further 35 days, from backups, unless the law requires us to keep it.
- Sections that by their nature should continue (including payment owed, intellectual property, confidentiality, disclaimers, liability and governing law) survive.
14. Warranties and disclaimers
We provide the service with reasonable skill and care. Except as stated in these Terms, and to the fullest extent the law allows, the service is provided "as is" and we give no other warranties, including of uninterrupted or error-free operation or fitness for a particular purpose. The service helps you keep records; you remain responsible for food safety, licensing, tax, stock decisions and compliance with the law. Costing, forecast and alert figures are aids, not professional advice.
15. Limit of liability
- Nothing limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence.
- Subject to that, we are not liable for loss of profit, revenue, goodwill or business, or for indirect or consequential loss.
- Subject to that, our total liability arising out of or in connection with the service in any 12-month period is limited to the amount you paid us for the service in the 12 months before the event that gave rise to the claim.
16. Indemnity
You will defend and compensate us against claims by third parties arising from your data, from your use of the service in breach of these Terms or the law, or from your failure to have the rights or permissions needed for the data you upload. We will defend and compensate you against third-party claims that the service, used as allowed, infringes their intellectual property rights, provided you notify us promptly, let us control the defence and cooperate.
17. Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days' notice by email or in the service. If you keep using the service after the change takes effect you accept it. If you do not agree, you may cancel before then. The current version and effective date are shown at the top of this page.
18. General
- Entire agreement. These Terms, the Privacy Policy, the Data Processing Agreement and the other policies linked from our website are the whole agreement and replace earlier discussions.
- Assignment. You may not transfer your rights without our written consent. We may transfer ours as part of a merger or sale of the business.
- Notices. We may give notice by email to your account owner or in the service. You may give notice to (our support email, shown on our website).
- Force majeure. Neither of us is liable for delay or failure caused by events beyond reasonable control, including power, internet or cloud provider failure, natural disaster, war, strike or government action.
- Severability and waiver. If a part of these Terms is unenforceable the rest continues. Not enforcing a right is not giving it up.
- Governing law and disputes. These Terms are governed by the laws of India. The courts at the location of our registered office have exclusive jurisdiction, except that either of us may seek urgent relief in any court. If you are a consumer with mandatory rights under the law of your own country, those rights are not affected.
